Minutes, Board Meeting 10/21/2012

  1. Location: Pilgrim Church, 1375 W Sylvania Ave, Toledo, OH 43612
    Present: Shelly Boraby, Lisa Blake (General Manager, GM), Pete DeWood, Sandor Halasz, Steve Steel, Hermann von Grafenstein; Absent: Steven Vines
  2. The meeting was spontaneously arranged immediately following the attempted annual meeting. The purpose was to plan for board elections and to reschedule the annual membership meeting.
  3. The date for the annual membership meeting was set to Sunday, December 2. The meeting will have an abbreviated agenda:
  4. To ensure that the new board can be elected even if no quorum is reached, the following alternative voting procedures will be allowed (5/0:0, for: against: abstention):
    1. Vote at the annual membership meeting.
    2. Vote by Proxy (cast your vote on a ballot and another member takes your ballot to the annual membership meeting.
    3. Vote using a ballot issued by the coop and drop it off at the coop before the annual membership meeting (mail-in ballots are not allowed by the coop's bylaws).
    President Steve Steel will draft a letter to members encouraging them to come to the rescheduled membership meeting and to explain the ballot which will be enclosed in the letter. The letter is to be sent out during the week of October 29 to ensure that a 30-day notice of the membership meeting is given. The membership committee will take care of generating mailing labels, stuffing envelopes and mailing.
  5. The meeting was adjourned at 8:45pm.
